TERMS AND CONDITIONS OF LICENSE

1. BACKGROUND

The LICENSOR owns a software called LATAM LOCALIZATION or SOFTWARE. This software consists of a regional adaptation (location by country) to the Microsoft program called: Microsoft Business Central 365 (hereinafter BC). This adaptation constitutes a specific program and separate from the BC, and is the exclusive and exclusive property of the LICENSOR, which thus declares to know and accept the LICENSEE. This EULA must be followed by a CERTIFICATE OF USE, which can only be issued by the LICENSOR. For the use of the LOCALIZATION LATAM software to be considered valid, the LICENSEE must have a CERTIFICATE OF USE issued and signed by the LICENSOR. The CERTIFICATE OF USE determines the scope of the licensing. The scope set in the CERTIFICATE OF USE prevails to this contract. The CERTIFICATE OF USE can be issued cumulatively, in which case the last one issued is the only one valid and defines all the scope of the license. By use of the LOCALIZATION LATAM software is understood any type of use that is made of it, in whole or in part, by way of example: for study, testing, production, etc. In all cases the LOCALIZACION LATAM software will require for its valid use by the LICENSEE a CERTIFICATE OF USE issued exclusively by the LICENSOR that will fix the scopes of the licensing. No CERTIFICATE OF USE that is not issued and signed exclusively by the LICENSOR will be admitted, with which it is clarified that no other certificate of use or similar documentation issued by a distributor, partner, vendor, associate or any other subject will have any value. . The terms and conditions of this license constitute the contract between the LICENSEE and the LICENSOR. The signature of the End User License Agreement, or the installation, delivery of the code or use of the LOCALIZACION LATAM software, whichever comes first, implies the acceptance of all the terms and conditions of this License Agreement. The terms and conditions of this license apply to the LOCALIZACION LATAM software, which includes the means by which the LICENSEE receives it, if any. 2. SCOPE OF THE LICENSE

By this contract the LICENSOR grants the LICENSEE as end-user a non-exclusive and perpetual authorization of the LOCALIZACION LATAM software. The LICENSEE may not introduce modifications to the LATAM LOCALIZATION, unless expressly authorized by the LICENSOR. The LICENSEE may not sell, market, assign, sublicense, authorize the use, or in any way perform acts of disposition beyond its own use as final consumer of the LOCALIZACION LATAM software. Such prohibition includes third parties or other physical or legal persons related, affiliated, linked or controlled by the LICENSEE, unless expressly authorized by the LICENSOR. In case of such authorization, the sub-license, assignment and / or authorization contracts must include express and clear provisions informing the end users that they can not: sell, assign, license, authorize, market, or in any way perform acts of disposition, beyond its own use as final consumer of LOCALIZACION LATAM; and that they will not be able to make copies of that one, except for the indispensable ones for their own and final use. The LICENSEE can not migrate the LOCALIZACION LATAM software to another version of BC other than the version for which it was provided or to another distinct platform.
